Vault will aim to extract company and signatory information as well as the following generic tags when presented with a supplier agreement: What is the commencement date? What is the end date? ⁠Can the agreement be terminated (“yes” or “no”)? How can the agreement be terminated? What is the value of this contract? Are there consequences for breaching the contract (“yes” or “no”)? What are the consequences for breaching the contract? Does the supplier provide artificial intelligence services to the client? Does the supplier use artificial intelligence to deliver its services to the client? Is the supplier allowed to use the client’s data for the purposes of training its artificial intelligence models? Where is the client’s data stored? Is the Supplier making any representations (“yes” or “no”)? What are the scope of services? What is the Business Continuity Plan? Within what timeframe will the Supplier restore services following any disruptions in accordance with the Business Continuity Plan? How often is the Business Continuity Plan tested? What laws must the parties comply to in this Agreement? What record keeping and reporting obligations does the Supplier have? Who owns the Intellectual Property Rights for the Created IPR? Who owns the Intellectual Property Rights for the Background IPR? What is the Statement of Work (SOW) process? What is the Service Level? How can a change to the Scope of Services be requested? What is the pricing schedule? Can the Supplier pass on additional expenses? Is the price inclusive of VAT? What will the Supplier indemnify the Customer against? Do indemnifications from TUPE/ARD apply? What happens in the event the Customers use of Services/Deliverables infringe with IPR’s? Can confidential information be disclosed to the Receiving Parties Representatives? What is the limit of liability in the event of a breach of confidentiality? What is the limit of liability with regards to indemnification? What is the limit of liability with regards to Data Protection? Is there any liability for consequential loss or damage? What is the Customer’s total aggregate liability to the Supplier? What is the Supplier’s total aggregate liability to the Customer? What insurance level is the Supplier required to maintain? What are the parties rights with regards to Force Majeure? What is the Term of the Agreement? Can the Agreement be terminated without cause? Can a SOW be terminated without cause? Can the Agreement be terminated with cause by the Customer? Can the Agreement be terminated with cause by the Supplier? Do cross termination rights apply? Are any fees refundable on the event of termination? What happens once a written request for termination has been submitted by the Customer? Can the Supplier subcontract any of its services? What are the audit rights? Who bears the cost of the audit? How can a notice be given under this Agreement? What is the governing law? In the event of a conflict which agreement is followed?
